Helpful support articles What is a Stock Option ? 5 C A R TA What is a stock option Option Grant A stock option is a right, but not an obligation to purchase a company’s stock at a certain price (an “exercise price” or “strike price”). The exercise price is generally the fair market value of the stock on the grant date. 6 C A R TA What is a stock option Vesting Schedule Your stock option will vest (or become exercisable) incrementally or fully while you continue employment at the company. If you stop working for the company, your option grant will stop

vesting and your right to exercise the vested portion will expire after a set time period. 7 C A R TA What is a stock option Cost of Exercising an Option 1. Exercise price of the option multiplied by the number of option shares you are exercising. There are two costs to exercising an option: 2. Applicable taxes - for more information on your specific implications, please consult with your tax advisor. How to Accept your Option Grant on Carta 9 C A R TA 1. Email Invitation How to Accept You will receive an email from Carta inviting you to accept your option grant. Click Accept on Carta to navigate to Carta If you do not have an existing account on Carta, you will be directed to the registration page to create a Carta account. After registration is complete, you will receive a separate email to activate your new account. 10 C A R TA 2. Accept your Option How to Accept Logging into your Carta account will take you to the Tasks page, where you will accept your

option grant. You can click on View Details link to review your option, including the documents. To accept, click on Accept 11 C A R TA 3. Agree to the Terms Review all the terms of your option agreement, including How to Accept the linked: • Equity Incentive Plan, • Form of Option Agreement, • Form of Exercise Agreement, • and any additional documents. Check the box next to each linked document to confirm that you have read it. Type your name exactly as listed on the signature line and click Accept option grant. 12 C A R TA How to Accept 4. Celebrate! You will receive this message once you have successfully accepted your option grant. 13 C A R TA How to Accept 5. Access your option anytime You can access your option grant and see the vesting schedule and documents anytime you want in your portfolio after logging in. How to Exercise your Option Grant on Carta 15 C A R TA 1. Connect your Bank Account Go to Account from the top header > click

on Settings > go to the payment information tab. Click on the “+” and How to Exercise select if you would like to add a bank account instantly or manually. If manually, after adding your bank account details, you will be sent two small test deposits to your bank account within 1-3 business days. Return to your payment information page in your Carta account and click on Actions > verify account to enter those amounts to verify your bank account. 16 C A R TA 2. Set up the Exercise How to Exercise Navigate to your portfolio. Click on the “V” dropdown and select Exercise to the right of your option grant Review your account information. If needed, click on update account to add/ edit any information. Once confirmed, click Next. 17 C A R TA 3. Complete Exercise Form How to Exercise Enter in the desired quantity to exercise. Check off the box to agree to the funds withdrawal (removal) from your bank account. After the details have been reviewed, click Sign and

exercise. 18 C A R TA 4. Agree to the Terms How to Exercise Review the exercise terms and confirm you have read the applicable documents. Type your name on the signature link and click Exercise option grant. The date that you initiate your electronic exercise will be set as the exercise date. 19 C A R TA 5. Tracking your Exercise You can follow along the exercise workflow How to Exercise from the exercises tab of your option grant details. Your exercise will be sent to be approved by the company’s option exercise approver. Once approved, the funds transfer from your bank account to Carta’s escrow account will complete in 5-7 business days. Once the transaction has cleared, the resulting certificate will be created for the officer signatory to sign, then you will be sent an email to sign and accept the certificate into your Carta portfolio.
